Terms of Service

1. Acceptance of Terms

By registering for, accessing, or using OmniAI ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User", "Agency", "you") and Western Entertainers LLP ("WeVisa", "OmniAI", "we", "us").

If you are accepting on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree with these Terms, you must not use the Platform.

2. The Platform

OmniAI is a B2B SaaS platform providing AI-powered tools for Indian travel agents and visa consultants, including but not limited to: WhatsApp AI automation, CRM lead management, visa knowledge base, invoice generation, social media scheduling, voice AI calling, and email campaign tools ("Services").

The Platform is intended solely for use by registered travel agencies, visa consultants, and immigration professionals operating legally in India. Personal or consumer use is not permitted.

3. Account Registration

To access the Platform you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and update your information to keep it accurate
  • Keep your password confidential and not share it with third parties
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activity under your account

You may not create an account on behalf of another person without their explicit consent, or create multiple accounts to circumvent plan limits.

4. Subscription Plans and Payment

OmniAI is offered under subscription plans (Starter, Professional, Agency) as described on our Pricing page. By subscribing, you authorise us to charge the applicable fees via Razorpay on a recurring monthly or annual basis.

Free trial: All plans include a 14-day free trial. No credit card is required to start. After the trial, your chosen plan's fees apply.

Billing: Subscriptions auto-renew at the end of each billing period. You may cancel at any time from your billing settings. Cancellations take effect at the end of the current billing period.

Price changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance.

GST: All prices are exclusive of GST (18%) unless stated otherwise. GST invoices are provided for all payments.

5. Refund Policy

We offer a full refund within 7 days of your first payment if you are not satisfied with the Platform, provided you have not exceeded reasonable usage limits. After 7 days, refunds are not available for the current billing period.

Annual subscriptions are refundable on a pro-rata basis within 30 days of the initial purchase only. See our Refund Policy page for full details. Refunds are not available for add-on services, WhatsApp API credits, or custom onboarding fees.

6. Acceptable Use

You agree to use the Platform only for lawful business purposes. You must not:

  • Use the Platform to send unsolicited bulk messages (spam) in violation of applicable law
  • Impersonate any person, agency, or government body
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to the Platform or other users' accounts
  • Scrape, reverse-engineer, or copy any part of the Platform
  • Resell or sublicense access to the Platform without our written consent
  • Use the Platform in any way that violates Indian law, including IT Act 2000, DPDP Act 2023, or telecom regulations
  • Use WhatsApp automation features in violation of Meta's WhatsApp Business Policies

Violation of these rules may result in immediate account suspension or termination without refund.

7. WhatsApp Business API Usage

OmniAI's WhatsApp features are powered by the official WhatsApp Business API (Meta). By using these features, you also agree to Meta's WhatsApp Business Policy and Commerce Policy.

You are responsible for ensuring your use of WhatsApp via OmniAI complies with all applicable laws and Meta's policies, including obtaining proper consent from your clients before sending them messages. We are not liable for account suspension or restrictions imposed by Meta due to your policy violations.

8. Intellectual Property

All software, designs, trademarks, content, and technology comprising the OmniAI Platform are the exclusive property of Western Entertainers LLP and its licensors. These Terms do not grant you any ownership rights in the Platform.

You retain ownership of all data, content, and materials you upload to the Platform ("Your Data"). By uploading Your Data, you grant us a limited, non-exclusive licence to process and store it solely for the purpose of providing the Services to you.

You must not use the OmniAI name, logo, or branding without our prior written consent.

9. Confidentiality

Both parties may have access to confidential information of the other in connection with these Terms. Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

Your client data is confidential. We will not access, use, or disclose it except as necessary to provide the Services or as required by law. See our Privacy Policy for full details.

10. Data Processing

Where you upload personal data of your clients to OmniAI for processing, you are the data controller and we are the data processor under India's DPDP Act 2023. We will:

  • Process client data only on your documented instructions
  • Implement appropriate technical and organisational security measures
  • Not engage sub-processors without informing you
  • Assist you in responding to your clients' data rights requests
  • Delete or return client data upon termination of Services

You are responsible for ensuring you have lawful grounds to process and share your clients' data with us.

11. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • OmniAI is provided "as is" without warranties of any kind, express or implied
  • We do not warrant that the Platform will be error-free, uninterrupted, or fit for any particular purpose
  • We are not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the 3 months preceding the claim

Nothing in these Terms excludes liability for fraud, gross negligence, or death or personal injury caused by our negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless WeVisa, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any third-party rights; or (d) any illegal activity conducted through your account.

13. Suspension and Termination

We may suspend or terminate your account immediately if:

  • You breach these Terms or our Acceptable Use Policy
  • Your account is involved in fraud, abuse, or illegal activity
  • You fail to pay subscription fees after a 7-day grace period
  • We are required to do so by law or court order

You may terminate your account at any time from your account settings. Upon termination, your access to the Platform ceases, and your data is deleted within 90 days as per our Privacy Policy. Provisions that by their nature should survive termination (payment obligations, IP rights, limitations of liability) remain in effect.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act 1996, with a single arbitrator appointed by mutual agreement. The seat of arbitration shall be Noida, Uttar Pradesh. The language of arbitration shall be English.

Courts in Noida, Uttar Pradesh, shall have exclusive jurisdiction for any injunctive relief sought prior to arbitration.

15. Changes to Terms

We may modify these Terms at any time. We will provide at least 15 days' notice of material changes by email and via in-platform notification. If you continue to use the Platform after the effective date of changes, you accept the revised Terms. If you do not accept the changes, you may terminate your account before the effective date.

16. Miscellaneous

Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any order forms, constitute the entire agreement between you and WeVisa regarding the Platform.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement.

Severability: If any provision is found unenforceable, the remainder of the Terms continues in full force.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor in the event of a merger or acquisition.

Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or internet infrastructure failures.
